1) Acceptance of Terms
By accessing our websites, requesting a quote, creating an account, or purchasing products, you agree to these Terms & Conditions and our Privacy Policy and Returns, Cancellations & Refunds Policy. If you do not agree, do not use our services. You must be 18+ (or the age of majority in your state).
2) Definitions
“Site”: any website, subdomain, or page operated by Emerson Logistics Inc.
“You/Customer”: the person or business placing an order or using the Site.
3) Account; Accuracy
You are responsible for your account credentials and all activity under it. Provide accurate, current information. We may refuse, suspend, or cancel accounts for misuse or fraud.
4) Quotes, Pricing & Availability
Quotes are valid for 14 days unless otherwise stated.
Prices may change without notice. We may correct errors (including pricing/description) and cancel orders that relied on an obvious mistake; any funds received will be refunded.
Availability and lead times are estimates and not guarantees.
5) Orders & Payment
We accept major cards, ACH, and approved financing/invoicing. Payment authorizes us to charge all amounts, taxes, shipping, and fees.
Orders are not binding until accepted by us (e.g., confirmation email).
Financing is provided by third-party lenders under their terms; your financing obligations remain until any refund is processed.
6) Taxes
You are responsible for sales/use taxes and any permit or inspection fees. We collect tax where required by law.
7) Shipping, Delivery & Risk of Loss
Most kits ship LTL freight curbside. Liftgate and appointment services may be extra. Ensure truck access; re-delivery/wait fees are the customer’s responsibility.
Title and risk of loss transfer to you upon carrier pickup for FOB-origin shipments or upon delivery for FOB-destination, as indicated on your order.
Inspection: Note visible damage on the BOL, photograph, and notify us within 48 hours; see our Returns policy for concealed damage.
8) Site Prep, Installation & Permits
Unless expressly included in writing, products are self-install. You are responsible for site preparation (e.g., level base, drainage), anchoring, and local compliance (permits, codes, HOA).
Published snow/wind ratings apply only when installed per the manufacturer’s instructions and with appropriate anchoring.
We may provide third-party installer referrals as a courtesy; those contractors operate independently and are solely responsible for their work.
9) Returns, Cancellations & Refunds
See our separate policy. In summary: returns require RMA within 30 days on unopened, unused products; customer-paid freight and restocking fees may apply; custom/engineered items are typically non-returnable.
10) Warranties
Products include the manufacturer’s limited warranty only; its terms control.
EXCEPT AS REQUIRED BY LAW, EMERSON LOGISTICS MAKES NO ADDITIONAL WARRANTY (EXPRESS OR IMPLIED), INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. Some states do not allow limitations on implied warranties; you may have additional rights.
11) Limitation of Liability
To the maximum extent permitted by law:
Emerson Logistics will not be liable for any indirect, incidental, special, punitive, or consequential damages (including lost profits, downtime, or loss of use).
Our total liability for any claim will not exceed the amount you paid for the product or service giving rise to the claim.
These limits apply to contract, tort (including negligence), strict liability, and otherwise.
12) Safety; Professional Advice
Site content (guides, calculators, blog posts) is informational only and not engineering, legal, or construction advice. Always follow manufacturer manuals and applicable codes; hire qualified professionals where appropriate.
13) Intellectual Property
All content on the Site (text, graphics, photos, logos) is owned by Emerson Logistics or its licensors and protected by law. You may not copy, modify, or redistribute without permission. Product names and brands may be trademarks of their respective owners.
14) Acceptable Use
Do not: (a) scrape, reverse engineer, or interfere with the Site; (b) post unlawful, infringing, or harmful content; (c) attempt unauthorized access; (d) use the Site for spamming or deceptive activities. We may suspend or terminate access for violations.
15) User Content & Feedback
If you submit reviews, photos, or feedback, you grant us a non-exclusive, worldwide, royalty-free license to use, display, and reproduce that content for marketing and operational purposes. You are responsible for the legality of what you submit.
16) Promotions & Coupons
Promotions are subject to their posted terms, may not be combined, and may be modified or discontinued without notice. If an order is returned, promotional values may be deducted from refunds.
17) Third-Party Links & Services
We are not responsible for third-party sites, apps, installers, lenders, or carriers. Their terms and privacy policies apply.
18) Communications & SMS
By providing contact details, you consent to receive service communications (order updates, delivery notices). Marketing emails/SMS require consent where required by law; you may opt out at any time (unsubscribe/STOP). Messaging/data rates may apply.
19) Privacy
Our Privacy Policy explains how we collect and use personal data. It is incorporated into these Terms.
20) Force Majeure
We are not liable for delays or failures caused by events beyond reasonable control (e.g., severe weather, strikes, carrier capacity, supplier issues, war, acts of government, internet outages).
21) Governing Law; Dispute Resolution
Law/Jurisdiction: The laws of the State of Colorado, without regard to conflict-of-laws rules, govern these Terms.
Venue: State or federal courts located in Denver County, Colorado shall have exclusive jurisdiction for disputes not subject to arbitration.
Optional arbitration (if you prefer to include): At our election, disputes may be resolved by binding arbitration on an individual basis under the rules of the American Arbitration Association; you waive class actions and jury trial to the extent permitted by law.
22) International Use
We currently sell and ship within the contiguous United States. If you access the Site from elsewhere, you are responsible for compliance with local laws.
23) Changes to Terms
We may update these Terms at any time. The “Effective date” shows the latest version. Continued use of the Site after changes means you accept the updated Terms.
